EULA — App Liaison

END-USER LICENSE AGREEMENT

This End-User License Agreement ("EULA") is a legal agreement between you and Company App Liaison Inc. (“Developer”) for the software application OffsideAI (“Software”), which includes any software, media, and documentation provided with this EULA.

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.

LICENSE GRANT The Developer hereby grants you a personal, non-transferable, non-exclusive license to use the Software for your personal use. You may not copy, modify, distribute, sell, or transfer the Software or any portion thereof without the prior written consent of the Developer.

LICENSE TERM The license granted under this EULA is effective until terminated by the Developer or upon your failure to comply with any term of this EULA. Your rights under this EULA will terminate automatically without notice from the Developer if you fail to comply with any term of this EULA.

RESTRICTIONS You may not, nor may you allow others to, decompile, reverse engineer, disassemble, or otherwise attempt to discover the source code of the Software. You may not remove or obscure any proprietary notices or labels on the Software.

OWNERSHIP The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Developer retains all right, title, and interest in and to the Software, including all intellectual property rights.

WARRANTY The Developer warrant that the software will perform substantially in accordance with the documentation and that the software will be free from material defects in materials and workmanship under normal use for a period of 90 days from the date of initial purchase.

DISCLAIMER EXCEPT AS WARRANTED ABOVE, THE SOFTWARE IS PROVIDED "AS IS", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

LIMITATION OF LIABILITY IN NO EVENT SHALL THE DEVELOPER BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS OR CONFIDENTIAL OR OTHER INFORMATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, FOR LOSS OF PRIVACY, FOR FAILURE TO MEET ANY DUTY INCLUDING OF GOOD FAITH OR OF REASONABLE CARE, FOR NEGLIGENCE, AND FOR ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE, THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT OR OTHER SERVICES, INFORMATIONAL CONTENT THROUGH THE SOFTWARE OR OTHERWISE ARISING OUT OF THE USE OF THE SOFTWARE, OR OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION OF THIS EULA, WHETHER UNDER BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF THE DEVELOPER OR ANYONE ELSE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

GOVERNING LAW This EULA shall be governed by and construed in accordance with the laws of the state of [State/Country] without regard to or application of its conflicts of law rules or principles.

ACCEPTANCE OF TERMS You acknowledge that you have read this EULA, understand it, and agree to be bound by its terms and conditions. By using the Software, you consent to the terms of this EULA.

This EULA should be reviewed carefully before using the software. you will be prompted to accept the terms of this EULA before installing the Software and will not be able to install the software unless you accept the terms of this EULA.
